Earned LTIP Units means the number of Award LTIP Units that are determined by the Committee to have been earned pursuant to an Award Agreement.

  • Grantee hereby agrees that the Award LTIP Units which are awarded under the terms of this Agreement and which may become Earned LTIP Units and Vested LTIP Units hereunder are and shall remain subject to the Clawback Policy, as the same may be hereafter amended, modified or supplemented with the approval of the Committee, in its sole and absolute discretion.

  • Any attempted Transfer not in accordance with the terms and conditions of this Section 7 shall be null and void, and neither the Partnership nor the Company shall reflect on its records any change in record ownership of any Earned LTIP Units or Vested LTIP Units as a result of any such Transfer, shall otherwise refuse to recognize any such Transfer and shall not in any way give effect to any such Transfer.

Related to Earned LTIP Units

  • Vested LTIP Units has the meaning provided in Section 4.4(d) hereof.
