Earned Performance Shares means Shares subject to the PRSUs in respect of which the applicable Performance Objectives, as set out in Section 3.1 and Schedule C to the Agreement, have been achieved and shall become eligible for vesting and payment as set out in Section 3.2.

More Definitions of Earned Performance Shares

Earned Performance Shares means Shares subject to the Option in respect of which the applicable Performance Objectives, as set out in Section 3.1, have been achieved and shall become vested and exercisable as set out in Section 3.2.

Earned Performance Shares means the number of PRSUs that are deemed earned based on the attainment level of the Performance Objectives set forth in Schedule C of this Agreement; provided that if the BCA Effective Date occurs prior to the end of the Performance Period, Earned Performance Shares shall mean the greater of (i) the number of PRSUs that are deemed earned based on the actual attainment level of the Performance Objectives (and, for the avoidance of any doubt, based on the attainment level of the Performance Objectives over a truncated Performance Period ending on a date prior to the BCA Effective Date if selected by the Committee), and, in any event, in accordance with the provisions of the BCA, and (ii) the target number of PRSUs.
