EBITDA Percentage definition

EBITDA Percentage means, as of the date of the consummation of any sale, disposition or exchange of assets (or Equity Interests) by any of the Nexstar Entities or Mission Entities, the ratio, expressed as a percentage, obtained by dividing (a) the portion of Consolidated EBITDA attributable to such assets (or Equity Interests) of such Person for the most recent Test Period calculated on a Pro Forma Basis, such date by (b) Consolidated EBITDA for such Test Period, calculated on a Pro Forma Basis.
EBITDA Percentage means, as of the date of the consummation of any sale or disposition of assets (which may include the Equity Interests of a Subsidiary owning the assets to be sold or otherwise disposed of) by the Borrower or any of its Subsidiaries pursuant to clause (h) or (i) of Section 7.6, the ratio, expressed as a percentage (rounded upwards, if necessary, to the next 1/100th of 1%), obtained by dividing (a) the portion of Consolidated EBITDA attributable to such assets (or such Equity Interests) of such Person for the most recent Test Period prior to such date by (b) Consolidated EBITDA for such Test Period. For the avoidance of doubt, to the extent EBITDA Percentage is to be tested on a cumulative basis over time (i.e., for more than one asset sale or disposition after the Closing Date), the EBITDA Percentage shall be the sum of the EBITDA Percentage for each such asset sale or disposition over the applicable period of time (calculated in each case on an individual basis in accordance with the prior sentence).

More Definitions of EBITDA Percentage

EBITDA Percentage means, with respect to a calendar year in the Performance Period, the percentage obtained by dividing the Actual Internal EBITDA for such calendar year by the Base Case for that year.
EBITDA Percentage as of the end of any fiscal period of the Company means the quotient of (a) the Company's EBITDA for such period divided by (b) the sum of (1) the monthly average amount of equity invested (not including retained earnings) in the Company during such period plus (2) the monthly average amount of Indebtedness of the Company during such period, all as determined in accordance with GAAP.
