ELAN TECHNOLOGY definition

ELAN TECHNOLOGY means the Elan Patents and/or the Elan Know-How (which exclude the Elan Excluded Technology). The primary examples of the Elan Technology existing as of the Effective Date are set forth on Schedule 1; for the avoidance of doubt the Parties confirm that the said list is not necessarily exhaustive. The Elan Technology also includes the inventions and know how that are the subject of the Maynooth Agreement or any agreement with Maynooth University Enterprise Development Limited envisaged by the Maynooth Agreement. For the avoidance of doubt, Elan Technology shall exclude Patents and Know How [****] or [****], including, but not limited to, [****].
ELAN TECHNOLOGY. ELAN Technology shall mean those assays described in Exhibit 1.43.
ELAN TECHNOLOGY means (i) the Materials, including the ELAN Contribution, (ii) the Product, and any modifications, derivatives, or fragments thereof, and (iii) the Technology of ELAN developed or obtained by or on behalf of ELAN (x) prior to the Effective Date and/or (y) independent of and without the use of BI Pharma Confidential Information and Know-How.

More Definitions of ELAN TECHNOLOGY

ELAN TECHNOLOGY means, collectively, ELAN Background Technology and ELAN Program Technology.
ELAN TECHNOLOGY means any Technology that is used by ELAN, or provided by ELAN for use, in the performance of the Development and Commercialization of the Product that is (a) Controlled by ELAN as of the Effective Date or (b) Made by employees of, or consultants to, ELAN after the Effective Date. ELAN Technology includes formulations comprising AZD-103 or Derivatives developed in the performance of the Development Program.
