Elected Shares definition

Elected Shares means the sum of (x) the aggregate Pro Rata Portions with respect to the shares of Common Stock of all of the Other Stockholders (including the Participant) that have elected to exercise in full their rights to sell their Pro Rata Portion of shares of Common Stock, and (y) the Selling Stockholder's Pro Rata Portion of shares of Common Stock. (v) "Non-Elected Shares" shall mean the excess, if any, of the total number of shares of Common Stock proposed to be sold to a Purchaser as set forth in a Selling Stockholder's Notice over the aggregate Pro Rata Portions with respect to shares of Common Stock of all of the Other Stockholders (including the Participant) that have elected to exercise their rights to sell their Pro Rata Portions of Shares of Common Stock.
Elected Shares means the CERI Common Shares held by persons that are not U.S. Persons who elect, in a duly completed Letter of Transmittal and Election Form deposited with the Depositary no later than the Election Deadline, to receive Exchangeable Shares in connection with the Arrangement;
Elected Shares means as regards a particular S&N Group Shareholder and in relation to a particular dividend proposed to be declared by Smith & Nephew Group (or, in the case of a Total Election Condition subsisting, a particular dividend announced by Smith & Nephew Group as being payable by the Company) that number of Common Access Shares equal to the number of S&N Group Shares in respect of which that S&N Group Shareholder has made Valid Dividend Elections which subsist (or which are deemed to subsist) as at the Relevant Time for that particular dividend

Examples of Elected Shares in a sentence

  • At the Closing, the Optionholder shall deliver to Purchaser stock certificates representing the Elected Shares to be sold to Purchaser pursuant to this Agreement, duly endorsed in blank for transfer or accompanied by appropriate stock power duly executed in blank.

  • In consideration and exchange for such Elected Shares, Purchaser shall pay to the Optionholder, within two business days after delivery of such Elected Shares, the Purchase Price as provided in Section 3 hereof.

  • The Optionholder represents and warrants to and covenants with Purchaser that on the date hereof and on the Closing Date, the Optionholder is and will be, subject to the rights hereunder of Purchaser, the record and beneficial owner of the Elected Shares, free and clear of any liens, claims, and encumbrances.
