Each Seller and Buyer shall jointly execute (or cause to be executed) a Section 336(e) Election statement (or statements) as described in Treasury Regulations Section 1.336-2(h) (and any similar state or local forms) (a “Section 336(e) Election Statement”) with respect to the transactions contemplated hereby.
To facilitate such Section 336(e) Election, Buyer shall prepare Internal Revenue Service Form 8883, required schedules thereto, a Section 336(e) Election statement that includes all the information set forth in Treasury Regulations Section 1.336-2(h) and any similar forms necessary to effectuate the Section 336(e) Election under applicable state and local laws (collectively, the “Section 336(e) Election Forms”).
The Provider is not required to use the Department’s Election statement.
Seller shall attach to its U.S. consolidated federal income Tax Return for the taxable year that includes the Closing Date a Section 336(e) Election statement prepared in accordance with Treasury Regulation Section 1.336-2(h)(5) and (6) (the “Section 336(e) Election Statement”) and shall provide a copy of the Section 336(e) Election Statement to the Target Company on or before the due date of such Tax Return.
Utility has, simultaneously with the execution of this Agreement, provided the Trust with a properly completed Grantor Trust Election statement in accordance with Treasury Regulation section 1.468B-1(k)(2), a copy of which is attached hereto as Annex I, and the Trust shall file such statement with its timely filed IRS Form 1041 for the taxable year ending December 31, 2020.
