Seller shall complete the following: (i) obtain and pay for all Permits required to construct, install, operate and maintain the System, and (ii) obtain and pay for any authorizations and approvals from, and enter into agreements with, the Utility and Governmental Authorities having jurisdiction necessary to interconnect the System to the Site Electrical System and/or the Utility’s electrical distribution system.
Producer currently has a Unique Configuration, as defined below, since the Production Facility and Manufacturing Plant are interconnected to the Electrical System through the same Interconnection Facility.
Buyer shall have the right, at its sole discretion, to suspend acceptance of Products from the Project during any one of the following circumstances: (i) to prevent damage to Connecting Transmission Owner’s Electrical System; (ii) to maintain electrical service to Buyer’s customers; (iii) a System Emergency, or (iv) if suspension is required for relocation, repair or maintenance of facilities or to facilitate restoration of line outages (each, a “Suspension”).
In addition and notwithstanding anything herein to the contrary contained herein, in the event of a Seller Event of Default, Seller shall be responsible for all of costs related to decommissioning and/or removal of the Project and any costs related to disconnecting the Project from the Connecting Transmission Owner’s Electrical System.
Disconnection of the Facility from LIPA's Electrical System for any contractual, operational or safety reason shall not obligate Buyer to replace any revenues thus lost by Seller.
