Examples of Electronic Platform in a sentence
Notwithstanding any other provision of this Agreement, whenever the Custodian is required to deliver any notice or information to the Issuer or the Note Trustee or the Security Trustee under the terms of this Agreement, it may, to the extent the Issuer or the Note Trustee or the Security Trustee has access to an Electronic Platform, do so by making the relevant notice or information available to the Issuer or, as the case may be, the Note Trustee or the Security Trustee via such Electronic Platform.
The Issuer agrees that it will only deliver instructions via an Electronic Platform or SWIFT to the extent that it is permitted to give sole Instructions under this Agreement and that the Custodian shall have no responsibility or liability whatsoever to monitor whether this is the case and shall be entitled to presume that all such Instructions delivered to it via an Electronic Platform or SWIFT may be appropriately given solely by the Issuer and act on such Instructions accordingly.
Each of the Issuer and the Note Trustee and, if applicable, the Security Trustee shall be responsible for requesting access to any Electronic Platform and completing the documentation required for such access and nothing herein shall oblige the Custodian to ensure any such access.
In order for the Custodian to act, it must receive Authorised Instructions clearly marked as instructions for the decision via an Electronic Platform, SWIFT or, only to the extent that the Electronic Platform or SWIFT, as the case may be, is not available or if so agreed between the Custodian and the Issuer from time to time, by fax and by such time as the Custodian shall advise the Issuer from time to time.
The Custodian shall only be required to act upon Instructions delivered to the relevant contact details specified below (as the same may be updated from time to time by notice referred to above) or via an Electronic Platform and shall have no responsibility whatsoever for any Losses that result from Instructions being sent via a different method or using incorrect details.
