Eligible Collateral Asset definition

Eligible Collateral Asset has the meaning specified in Annex C.
Eligible Collateral Asset means any Collateral Asset (other than Cash and Cash Equivalents) determined pursuant to the Collateral Administration Agreement to satisfy the Eligibility Criteria set forth in Annex B.
Eligible Collateral Asset means a Collateral Asset that (A) subject to Section 2.05(c), has been approved by the Administrative Agent, in its sole discretion, prior to the date on which the Borrower commits to acquire such Collateral Asset, and (B) satisfies each of the following eligibility requirements on any date of determination or, to the extent specified below, the Acquisition Date (unless otherwise expressly waived by the Administrative Agent in its sole discretion):

Examples of Eligible Collateral Asset in a sentence

  • Each contribution shall either be made (a) in Cash, (b) by assignment and contribution of an Eligible Investment and/or (c) by assignment and contribution of an Eligible Collateral Asset (which may be via participation); including any assignment or contribution of a Collateral Asset to cure a Borrowing Base Deficiency as set forth in Section 2.05(c).

  • Each Collateral Asset included in a Monthly Report or a Borrowing Base Calculation Statement required to be delivered by it under this Agreement as an Eligible Collateral Asset was, to the best knowledge of the Borrower, an Eligible Collateral Asset at such time.

  • Subject to Section 12.04(c) and (d), each item in the Daily Report shall be reported by the Collateral Administrator, based upon the Eligible Collateral Asset Information provided to it by the Borrower or the Collateral Manager, upon which the Collateral Administrator may conclusively rely.

  • Any excess of Eligible Collateral Assets deemed to be included in the Caa/CCC Excess will be selected on the same basis as Eligible Collateral Assets that are included in the Excess Concentration Amount; provided that, for purposes of determining the Adjusted Principal Balance of any Eligible Collateral Asset included in the Caa/CCC Excess, the Adjusted Principal Balance of such Eligible Collateral Asset shall be deemed to be the lesser of (A) its Initial Value and (B) its Current Market Value.


More Definitions of Eligible Collateral Asset

Eligible Collateral Asset means any particular item of Eligible Collateral.
Eligible Collateral Asset means any Collateral Asset (other than Cash and Cash Equivalents) that satisfies the Eligibility Criteria and, other than in the case of a Qualifying Syndicated Loan, with respect to which the Borrower has received an Approval Notice.
Eligible Collateral Asset has the meaning specified in Annex C. “Eligible Collateral Asset Information” has the meaning specified in the Collateral Administration Agreement. “Equity Interests” means, with respect to any Person, all of the shares of capital stock of (or other ownership or profit interests in) such Person, all of the warrants, options or other rights for the purchase or acquisition from such Person of shares of capital stock of (or other ownership or profit interests in) such Person, all of the securities convertible into or exchangeable for shares of capital stock of (or other ownership or profit interests in) such Person or warrants, rights or options for the purchase or acquisition from such Person of such shares (or such other interests), and all of the other ownership or profit interests in such Person (including partnership, member or trust interests therein), whether voting or nonvoting, and whether or not such shares, warrants, options, rights or other interests are outstanding on any date of determination. “ERISA” means the Employee Retirement Income Security Act of 1974, as amended from time to time and the rules and regulations promulgated thereunder. “ERISA Affiliate” means any trade or business (whether or not incorporated) under common control with the Company within the meaning of Section 414(b) or (c) of the Code (and Sections 414(m) and (o) of the Code for purposes of provisions relating to Section 412 of the Code). “EU Bail-In Legislation Schedule” means the EU Bail-In Legislation Schedule published by the Loan Market Association (or any successor person), as in effect from time to time. “Eurocurrency Rate” means: (a) With respect to any Eurocurrency Rate Loan, the rate per annum equal to the LIBOR Screen Rate at approximately 11:00 a.m.(London time) on the Rate Determination Date with a term equivalent to such Interest Period; and 9
