Amended and Restated 1998 Non-Officer Employee Stock Incentive Plan, as amended (the "Plan"), is hereby amended as set forth below: 1.
This Plan is a successor to The Charles Schwab Corporation 2001 Stock Incentive Plan, The Charles Schwab Corporation 1992 Stock Incentive Plan and The Charles Schwab Corporation Employee Stock Incentive Plan (the “Prior Plans”).
This Amended and Restated 1998 Non-Officer Employee Stock Incentive Plan (the "Plan") of RSA Security Inc., a Delaware corporation (the "Company"), amends and restates the 1998 Non-Officer Employee Stock Incentive Plan of the Company initially approved by the Company's Board of Directors on December 9, 1998 and subsequently amended.
However, the Committee, in its sole discretion, may declare any Actual Award, in whole or in part, payable in restricted stock granted under the Company’s Employee Stock Incentive Plan.
The Employee Stock Incentive Plan as adopted by the Board and any successor to such plan which provides additional matching allocations under the Progress Energy 401(k) Savings & Stock Ownership Plan.
This Plan shall serve as the successor to the Company’s 2004 Employee Stock Incentive Plan and 2000 Employee Stock Option Plan (the “Predecessor Plans”), and no further grants shall be made under the Predecessor Plans from and after the Effective Date of this Plan.
In addition to the above-mentioned compensation, Director shall also be entitled to non-qualified stock options to purchase up to 10,000 shares of the Company’s common stock (subject to adjustment for any reverse or forward stock split), issued under the Company’s 2011 Employee Stock Incentive Plan (the “Plan”), in accordance with the terms of an Non-Qualified Stock Option Agreement in substantially the form attached hereto as Exhibit A.
For the purpose of calculating the number of shares of common stock to be issued, the value of such shares of common stock shall be the “Fair Market Value” of such shares as defined in the Company’s 2003 Employee Stock Incentive Plan.
Employee shall be eligible to participate in a Stock Option Program for the purchase of shares of the Common Stock of Employer, pursuant to the terms of Employer’s 2008 Employee Stock Incentive Plan (“2008 Plan”) as part of the North Valley Bancorp Long Term Incentive Plan, as established by the Employer’s Board of Directors.
Employee shall be eligible for award grants from time to time consistent with the award grants made to similarly-situated officers of the Company as governed by the terms of the 1998 Employee Stock Incentive Plan, as may be amended, or any successor plan thereof (the “Stock Plan”), as determined in the sole discretion of the Compensation Committee.
