English Security Documents definition

English Security Documents means: (i) the English law governed debenture to be made between the UK Loan Parties as chargors and the Agent (the “English Debenture”); (ii) the English law governed share charge and subordinated debt assignment to be made between each Loan Party which is the holder of the shares in the UK Loan Parties (other than UK Loan Parties which are already party to the English Debenture as chargors) in favor of the Agent (the “English Share Charge”) and (iii) each other agreement, deed, instrument or document executed by any Loan Party governed by English law which provides for a Lien in favor of the Agent as security for any of the Obligations, in each case in form and substance satisfactory to the Agent.

English Security Documents means (a) the English Debenture; and (b) any other security documents governed by English law as may be executed and delivered by any Note Parties pursuant to the terms of Section 7.14 or otherwise designated as Collateral Documents.

English Security Documents means (a) the Second Lien Debenture, the Second Lien Share Charge and the Second Lien LLP Charge and (b) each other Second Lien Collateral Document governed by the laws of England and Wales which is entered into after the Issue Date and which creates or evidences English Transaction Security.

Examples of English Security Documents in a sentence

• The Administrative Agent shall also act as security trustee in relation to the security created or evidenced by the English Security Documents.

• The Administrative Agent and the Lenders shall have received copies of (i) this Agreement, (ii) the Reaffirmation Agreement, (iii) the Disbursement Letter, (iv) the Intellectual Property Security Agreements, (v) the Supplemental English Security Documents, (v) the Restatement Date Security Agreement Supplement and (vi) the Notes, if any, in each case, executed and delivered by each Credit Party which is a party thereto.

• It is understood and agreed that the Administrative Agent shall not have any duties or responsibilities, except those set forth in the English Security Documents, or any fiduciary relationship with any Lender, and no implied covenants, functions, responsibilities, duties, obligations or liabilities shall be read into any Loan Document or otherwise exist against the Administrative Agent.

• This Agreement and the other Loan Documents (other than the Bermuda Security Documents, the English Security Documents, the Swiss Security Documents and such other Loan Documents as expressly state the contrary) shall be governed by, and construed and enforced in accordance with, the laws of the State of California, excluding conflict of laws principles that would cause the application of laws of any other jurisdiction.

• Each Secured Party authorizes, empowers and directs the Collateral Agent (by itself or by such person as it may nominate) to execute and enforce the English Security Documents as trustee on its behalf in accordance with the terms of such English Security Documents.

More Definitions of English Security Documents

English Security Documents means and include (i) the English Charge Over Shares and (ii) the English Debenture.

English Security Documents means the following documents, each in form and substance reasonably satisfactory to the Agent: (a) that certain English-law debenture among the English Guarantors and Agent, and (b) such other documents incidental to the foregoing documents designated as such by the Borrower and the Agent.

English Security Documents the collective reference to any security documents governed by the laws of England hereafter delivered to the Administrative Agent in form and substance satisfactory to the Administrative Agent and any U.K. Borrower for the purpose of granting a Lien on any property of that U.K. Borrower.

English Security Documents means (a) the English law governed share pledge in relation to the shares in Financial Models Corporation Limited, dated as of the Original Closing Date (as amended, restated, supplemented or otherwise modified from time to time), entered into between the Designated Borrower 2, as company, and the Original Administrative Agent; (b) the English law governed debenture, dated as of the Original Closing Date (as amended, restated, supplemented or otherwise modified from time to time), entered into among Financial Models Corporation Limited, SS&C Solutions Limited and GlobeOp Financial Services Limited, as chargors, and the Original Administrative Agent, and (c) each other English law governed document or instrument which creates or evidences or which is expressed to create or evidence any Lien granted or required to be granted pursuant to Section 7.14.

English Security Documents means, collectively, the English Debenture, the English Share Charge or any accession deed in respect thereof (in each case).

English Security Documents means the English Debenture and the English Share Pledge.

English Security Documents means the Debenture and Share Charges described in paragraphs 2a and 2b respectively of Schedule 1.1(b), the Supplemental English Security Documents and any other Collateral Document expressed to be governed by the laws of England and Wales executed by any Credit Party to secure the Obligations, in each case together with all extensions, renewals, amendments, supplements, modifications, substitutions and replacements thereto and thereof.
