Entertainment Business definition

Entertainment Business has the meaning ascribed to such term in Recital A;
Entertainment Business means all of the businesses conducted at or at any time prior to the Effective Time by the Company or any of its Subsidiaries, excluding the Retained Business.
Entertainment Business means the business of renting and/or selling movies, games and other entertainment content, whether delivered, provided and/or displayed via a physical retail store, kiosk or vending machine, data transmission, the Internet, direct mail, or through any other form of display or delivery system (whether now know or developed hereafter, whether such system involves the delivery of a physical or tangible object and including any other technological evolutions thereof).

  • Pending the date of registration of the transfer of title to any of the Transferred Assets to the Company or any permits or consents required to carry on the Entertainment Business being obtained by the Company, the Transferor will, effective as of the Effective Time on the Closing Date, hold registered title in and to such Transferred Assets, and carry on the Entertainment Business, as required, as nominee, agent, and bare trustee for and on behalf of, and as directed by, the Company.

More Definitions of Entertainment Business

Entertainment Business means the business and operations of the Company and its subsidiaries, on a consolidated basis, excluding the ownership, operation, management and disposal of restaurants, but including licensing fees received from third parties in connection with restaurants operated by such third parties.
Entertainment Business means the current businesses of the Entertainment Group, including the business of promoting and producing, and operating venues for, live entertainment events, including music concerts, theatrical performances and specialized motor sports, as well as sports representation, all as described in the Form 10.
