Entire Agreement; Restatement. This Agreement constitutes the full and entire agreement and understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings relating to such subject matter. Upon the Closing, the Original RRA shall no longer be of any force or effect.

There are no restrictions, promises, representations, warranties, covenants or undertakings, other than those expressly set forth or referred to herein or the documents or instruments referred to herein, which collectively supersede all prior agreements and the understandings among the parties with respect to the subject matter contained herein. Upon the Closing, the Original RRA shall no longer be of any force or effect.

Upon the Closing, the Original RRA and the Sponsor Subscription Agreement shall no longer be of any force or effect.

Except for any amendment to the Agreement made pursuant to this Amendment, (i) all terms and conditions of any Agreement between the parties executed before the Amendment Date will continue in full force and effect in accordance with its provisions on the date of this Amendment, and (ii) all terms and conditions of any Agreement between the parties executed subsequent to the Amendment Date will take their full force and effect in accordance with its provisions as of the date of such execution. References to the Agreement will be to the Agreement, as amended by this Amendment.
