Equipment and Inventory definition

Equipment and Inventory means those equipment and inventory items identified on Exhibit B attached hereto which ESCALON will transfer to the LICENSEE for the development of the “Products” defined below.
Equipment and Inventory means all remaining, unsold equipment and inventory held by the Debtor on the Effective Date, which shall vest in the Wind-Down Estate subject to the Secured Parties’ Liens.
Equipment and Inventory is defined in Section 4.3(d).

Examples of Equipment and Inventory in a sentence

  • Except for Equipment and Inventory referred to in clauses (ii) and (iii) of the preceding sentence, the Debtor has exclusive possession and control of the Inventory and Equipment.

  • All Equipment and Inventory are (i) located at the locations indicated on Schedule 4 (ii) in transit to such locations or (iii) in transit to a third party purchaser which will become obligated on a Receivable to the Debtor upon receipt.

  • The Grantor has exclusive possession and control of its Equipment and Inventory.

  • Each Debtor shall maintain the Equipment and Inventory in such condition as may be specified by the terms of the Credit Agreement.

  • With respect to any Equipment and/or Inventory of a Grantor, each such Grantor has exclusive possession and control of such Equipment and Inventory of such Grantor except for (i) Equipment leased by such Grantor as a lessee, (ii) Equipment or Inventory in transit with common carriers or (iii) Equipment and/or Inventory in the possession or control of a warehouseman, bailee or any agent or processor of such Grantor to the extent such Grantor has complied with Section 4(e).

  • None of the Equipment and Inventory has, within the four months preceding the date of this Security Agreement, been located at any place other than the places specified in Item A and Item B, respectively, of Schedule I hereto except as set forth in a footnote thereto.

  • With respect to any Equipment and/or Inventory of an Obligor, each such Obligor has exclusive possession and control of such Equipment and Inventory of such Obligor except for (i) Equipment leased by such Obligor as a lessee or (ii) Equipment or Inventory in transit with common carriers.

  • Schedule 3.5 correctly sets forth the location of all Equipment and Inventory, other than rolling stock, aircraft and goods in transit.

  • All items of Equipment and Inventory existing on the date of this Agreement are located at the places specified on Schedule I hereto.

  • Such Grantor has exclusive possession and control of its respective Equipment and Inventory.

Related to Equipment and Inventory

  • Inventory is all “inventory” as defined in the Code in effect on the date hereof with such additions to such term as may hereafter be made, and includes without limitation all merchandise, raw materials, parts, supplies, packing and shipping materials, work in process and finished products, including without limitation such inventory as is temporarily out of Borrower’s custody or possession or in transit and including any returned goods and any documents of title representing any of the above.

  • Plant and Equipment means permanent plant, equipment, machinery, apparatus, articles and things of all kinds to be provided and incorporated in the Facilities by the Contractor under the Contract (including the spare parts to be supplied by the Contractor under GCC Sub-Clause 3.3 hereof), but does not include Contractor’s Equipment.

  • Consigned Inventory means Inventory of any Borrower that is in the possession of another Person on a consignment, sale or return, or other basis that does not constitute a final sale and acceptance of such Inventory.

  • Property, Plant and Equipment means any item of real property, or any interest therein, buildings, improvements and machinery.

  • Transferred Inventory has the meaning set forth in Section 2.2(a)(iii).
