As of the Execution Date, there are no other contracts, side letters, other written agreements, arrangements, conditions precedent, contingencies or other provisions relating to the funding of the Transactions, to which Buyer or any of its Affiliates is a party, that would adversely affect the Equity Financing Source’s ability to perform its obligations under the Equity Commitment Letter, other than as expressly set forth in the Equity Commitment Letter.
