Interest shall be payable on each Interest Payment Date in cash (“ Cash Interest”), however, the Company may, at its option, elect to, pay interest on any Interest Payment Date in validly issued, fully paid and non-assessable shares of Common Stock (as defined below) (“Interest Shares”) so long as each of the Equity Conditions are satisfied on each day during the Equity Conditions Measuring Period applicable to such Interest Payment Date.
Notwithstanding the foregoing, the Company may only exercise the Company Conversion Option pursuant to Section 14.03(a) if, as evidenced by an Officer’s Certificate, each of the Equity Conditions are satisfied on each day during the Equity Conditions Measuring Period.
Borrower shall pay this Note in lawful money of the United States of America and in immediately available funds or, at its option, in validly issued, fully paid and non-assessable shares of Common Stock (the “New Shares”), so long as each of the Equity Conditions are satisfied on each day during the Equity Conditions Measuring Period applicable to such Payment Date.
