Each ROFR Stockholder shall be entitled to purchase up to its Equity Percentage of the Offered Securities.
On the Effective Date, Company will issue to Cornell such number of shares of common stock of Company as will cause Cornell to own the Minimum Equity Percentage of the capital stock of Company on a fully diluted basis on the Effective Date, assuming the exercise, conversion and exchange of all outstanding securities of Company for or into shares of common stock of Company.
