A pledge of all direct and indirect Equity Interests owned by Mobile Infra Holdings, LLC (“Equity Pledgor”) in the Fee Owners of the Clarksburg Property, the Clybourn Property, and the Milwaukee Old World Property, duly executed and delivered by Equity Pledgor, in form and substance satisfactory to Administrative Agent.
No consent, approval, authorization or order of, or qualification with, any court or Governmental Authority is required in connection with the execution, delivery or performance by any Borrower of this Agreement or the other Loan Documents, or by any Required Equity Pledgor of the Loan Documents to which it is a party, the failure to obtain which is reasonably likely to result in a Portfolio Material Adverse Effect, except for any of the foregoing which have already been obtained.
Each Required Equity Pledgor has good title to its Required Equity, in each case free and clear of all Liens except the Permitted Encumbrances.
Notwithstanding anything to the contrary contained in this Agreement or any other Loan Document, (i) neither Borrower nor Equity Pledgor shall enter into (or agree to enter into) any Division and (ii) none of the provisions in this Agreement nor any other Loan Document, shall be deemed to permit any Division with regard to Borrower or Equity Pledgor.
The Borrower shall not effect or permit (and shall cause the other Loan Parties and the Equity Pledgor not to effect or permit) any change referred to in the preceding sentence unless all filings have been made under the UCC or otherwise that are required in order for the Collateral Agent to continue at all times following such change to have a valid, legal and perfected security interest in all the Collateral as contemplated in the Security Documents.
