Examples of Equivalent Basic Subscribers in a sentence
Up to 2,200 Acquisition Subscribers acquired through New Acquisitions (the "Allocated Subscribers") may be allocated toward the Subscriber Threshold, solely to the extent that Seller has sold or traded, prior to the Closing, an equivalent number of Equivalent Basic Subscribers held by Seller on the date of this Agreement, in which event the Purchase Price shall not be increased pursuant to this Section 3.3(e) with respect to such Allocated Subscribers.
Seller shall deliver to Buyer, not less than seven Business Days prior to the Closing Date, a certificate signed by Seller (the "Pre-Closing Certificate"), which shall specify Seller's good faith estimate of the adjustments to the Purchase Price required under Section 3.4(a) above (including an estimate of the Adjustment Assets, Adjustment Liabilities and Equivalent Basic Subscribers), calculated as of the Adjustment Time and prepared consistent with GAAP.
The Systems shall serve at least 332,271 Equivalent Basic Subscribers, in the aggregate, reduced by the number of First Right Subscribers.
As of the Closing Date, the number of Equivalent Basic Subscribers served by Retained Franchises, shall not exceed 3% of the Subscriber Threshold at Closing.
For purposes of this Agreement, the "Subscriber Shortfall" equals the number, if any, by which the Equivalent Basic Subscribers of the Systems at the Closing is less than the Subscriber Threshold.
