ERISA Client definition

ERISA Client shall have the meaning specified in Section 3.7(b) hereof.
ERISA Client means each Client that is (i) an “employee benefit plan” (as defined in Section 3(3) of ERISA) that is subject to Title I of ERISA, (ii) a plan, individual retirement account or other arrangement that is subject to Section 4975 of the Code, (iii) an employee benefit plan, plan, account or arrangement that is subject to any Similar Law, or (iv) any entity whose underlying assets are considered to include “plan assets” (as defined by the regulations of the Department of Labor, as amended by Section 3(42) of ERISA) of any such employee benefit plan, plan, account or arrangement, or a Person acting on behalf of such a Client.
ERISA Client has the meaning assigned in Section 6.18.

Examples of ERISA Client in a sentence

  • If the Account is for a plan subject to ERISA, Client appoints Advisor, and Advisor acknowledges that it is a “fiduciary” within the meaning of Section 3(21) of ERISA and Section 4975(e)(3) of the Code (but only with respect to the provision of services described in Section 1 of this Agreement).

  • If Client is a retirement plan subject to ERISA, Client agrees to add a clause to the fidelity bond required by law, which provides coverage for agents employed by it.

  • The accounts of each ERISA Client have been managed by the Company or its Subsidiaries in compliance in all material respects with all applicable requirements under ERISA, Section 4975 of the Code and any Similar Law.

  • If the account(s) is/are for a plan subject to ERISA, Client appoints Xxxxxx Advisors, and Xxxxxx Advisors accepts its appointment, as an “investment manager” for purposes of ERISA and the Code, and Xxxxxx Advisors acknowledges that it is a “fiduciary” within the meaning of Section 3(21) of ERISA and Section 4975(e)(3) of the Code (but only with respect to the provisions of services in Section 1 of this Agreement).

  • If the Investment Account is for a pension or other employee benefit plan governed by ERISA, Client directs Advisor not to vote proxies for securities held in the Account because the right to vote such proxies has been expressly reserved to the plan’s trustees.

ERISA Client means each Person to which a Company Group Entity provides services whose assets are or may be deemed to constitute Plan Assets.
ERISA Client means each Investment Advisory Client that is (i) an “employee benefit plan” (as defined in Section 3(3) of ERISA) that is subject to Title I of ERISA, (ii) a plan, individual retirement account or other arrangement that is subject to Section 4975 of the Code, (iii) an employee benefit plan, plan, account or arrangement that is subject to any similar applicable law, or (iv) any entity whose underlying assets are considered to include “plan assets” (as defined by the regulations of the Department of Labor, as amended by Section 3(42) of ERISA), or its equivalent under applicable law, of any such employee benefit plan, plan, account or arrangement, or a Person acting on behalf of such an Investment Advisory Client.
ERISA Client defined in Section 3.1.8(b)(i).
ERISA Client has the meaning set forth in Section 3.1(z)(ii)(g).
ERISA Client means any Client that is a “benefit plan investor,” within the meaning of 29 C.F.R. § 2510.3 101(f)(2) or Section 3(42) of ERISA.
ERISA Client has the meaning ascribed to such term in Section 3.18(b).
ERISA Client has the meaning set forth in Section 3.03(o)(ii)(F).
