If the Acquisition is not consummated on or prior to March 5, 2022 (the “Escrow Outside Date”), or upon the occurrence of certain other events, none of the Escrowed Property will be released to the Escrow Issuer to consummate the Acquisition but instead will be released to the Trustee for the purpose of redeeming all of the Notes pursuant to Section 3.10 hereof.
