Escrow Release definition

Escrow Release has the meaning set forth in the Escrow Agreement.

Escrow Release as used herein shall refer to a disbursement of funds and/or a reduction of a Letter of Credit as applicable.

• The Escrow Deposit shall be held by the Escrow Agent for a period ending on the Escrow Release Date, except the Escrow Deposit may be withheld after the Escrow Release Date for so long as is reasonably necessary to satisfy claims for indemnification which are the subject to a Claims Notice delivered prior to the Escrow Release Date.

• Upon the Escrow Release Date, such existing Term B-2 Loans, Term B-3 Loans and Term B-4 Loans shall be deemed to have been made under this Agreement.

• Schedule 8.1 annexed hereto sets forth, as of the Escrow Release Date, each Loan Party’s name as it appears in official filings in its state of incorporation or organization, its state of incorporation or organization, organization type, organization number, if any, issued by its state of incorporation or organization, and its federal employer identification number.

More Definitions of Escrow Release

Escrow Release means the release of all of the Escrowed Property from the Escrow Account and of the Trustee’s Lien thereon and security interest therein pursuant to and in accordance with the terms of the Escrow Agreement.

Escrow Release means the release of the Escrowed Property by the Escrow Agent as directed by the Escrow Issuer pursuant to a Release Request.
