Escrow Shares shall be deemed to include the Non-Cash Dividends distributed thereon, if any.

All and any voting rights attached to the Escrow Shares shall at all times be exercised by the Vendors by giving written instructions to the Escrow Agent, and all rights attached thereto including the right to receive payment of any dividends shall be for the benefit of the Vendors.
