In the event Issuer wishes to retain certain funds, due to such Issuer, in the Escrow Account in order to maintain compliance with the terms of the Securities issued in the Offering, upon Escrow Agent’s affirmative consent prior to commencing the Offering, Issuer, and Escrow Agent shall enter into the Post-Offering Escrow Trust Agreement.
Provided, however, nothing herein shall diminish Escrowee's obligation to apply the full amount of the deposits in accordance with the terms of this Escrow Trust Agreement.
In the event Escrowee is requested to invest deposits hereunder, Escrowee shall not be held responsible for any loss of principal or interest that may be incurred as a result of making the investments or redeeming said investment for the purpose of this Escrow Trust Agreement.
