Estimated Adjustment Amount definition

Estimated Adjustment Amount has the meaning set forth in Section 2.5(a).

  • The Closing Statement, as agreed upon by the Parties, will be used to determine the Estimated Adjustment Amount at Closing.

More Definitions of Estimated Adjustment Amount

Estimated Adjustment Amount means Seller's good faith reasonable estimate of an Adjustment Amount for the Closing, which estimate shall be provided to Purchaser no later than five Business Days before the Closing.
Estimated Adjustment Amount means (a) the Estimated Closing Date Working Capital minus the Target Working Capital Amount (expressed as a positive or negative number, as applicable), plus (b) the Estimated Closing Date Cash, minus (c) the Estimated Closing Date Indebtedness, minus (d) the Estimated Transaction Expenses.
Estimated Adjustment Amount is defined in Section 2.5.
Estimated Adjustment Amount means the estimated Adjustment Amount set forth on the Estimated Adjustment Certificate.
