Evaluation of Risks. The Investor has such knowledge and experience in financial tax and business matters as to be capable of evaluating the merits and risks of, and bearing the economic risks entailed by, an investment in the Company and of protecting its interests in connection with this transaction. It recognizes that its investment in the Company involves a high degree of risk.

The Subscriber has such knowledge and experience in financial and business matters as to be capable of evaluating the merits and risks of, and bearing the economic risks entailed by, an investment in the Company and of protecting its interests in connection with this transaction. The HSI Stockholder acknowledges that prior to the Closing of the business combination of which this Exchange is a part, the Company has only those material assets and liabilities disclosed in the Public Reports. The HSI Stockholder has adequate financial resources for an investment of this character, and at this time can bear a complete loss of this investment. The HSI Stockholder understands that any forward looking statements in the Public Reports or otherwise made by the Company are mere estimates and may not reflect the actual results of the Company's operations.
Evaluation of Risks. The Seller has such Knowledge and experience in -------------------------- business and financial matters that the Seller is capable of evaluating the Purchaser and the proposed activities thereof, the risks and merits of the acquisition of the Subject Shares and of making an informed decision relating thereto; and the Seller is not utilizing any other Person regarding the evaluation of those risks and merits.

The Company has such knowledge and experience in business and financial matters that the Company is capable of evaluating Worldwide and the proposed activities thereof, the risks and merits of the Transaction and of making an informed decision relating thereto; and the Company is not utilizing any other person regarding the evaluation of those risks and merits.

At the time the Seller was offered the Subject --------------------------- Shares and at the Closing Date, the Seller, either alone or together with its representatives, had and will have such knowledge, sophistication and experience in business and financial matters so as to be capable of evaluating the merits and risks of the prospective acquisition of the Subject Shares and had and will have so evaluated the merits and risks of such acquisition. The Seller has the authority and is duly and legally qualified to acquire and own the Subject Shares.

The Subscriber has carefully considered the potential risks relating to the Company and a purchase of the Securities, including but not limited to a thorough review of the “Risk Factors” section of the Company’s public filings with the Securities Exchange Commission, and fully understands that the Securities are a speculative investment that involve a high degree of risk of loss of the Subscriber’s entire investment.
Evaluation of Risks. Worldwide has such knowledge and experience in business and financial matters that Worldwide is capable of evaluating the Company and the activities thereof, the risks and merits of the Transaction and of making an informed decision relating thereto; and Worldwide is not utilizing any other person regarding the evaluation of those risks and merits.
