Excess Fees definition

Excess Fees has the meaning provided in Section 2.6(c).
Excess Fees means (i) on or prior to any Payment Date (including the Maturity Date) or on or prior to the occurrence of a Trigger Initiated Defeasance Event, a Market Initiated Defeasance Event or an Early Termination Event, any Extraordinary Expenses incurred or accrued by the Fund which would give rise, directly or indirectly, to a Floor Shortfall (or in the case of an Early Termination Event, any Accelerated Floor Shortfall) or increase, directly or indirectly, an existing Floor Shortfall (or in the case of an Early Termination Event, any Accelerated Shortfall Amount), but for the adjustment required under Section 2.5(b)(i); and (ii) following the occurrence of a Trigger Initiated Defeasance Event, a Market Initiated Defeasance Event or an Early Termination Event, any Fund Fees and Expenses, including any Extraordinary Expenses incurred or accrued by the Fund that exceed 118 basis points per annum (on an annualized basis) of the average daily Net Assets of the Fund for the Class A Shares, 193 basis points per annum (on an annualized basis) of the average daily Net Assets of the Fund for the Class C Shares, 93 basis points per annum (on an annualized basis) of the average daily Net Assets of the Fund for the Class S Shares and 93 basis points per annum (on an annualized basis) of the average daily Net Assets of the Fund for the Institutional Shares.
Excess Fees means (i) on or prior to the occurrence of a Trigger Initiated Defeasance Event or a Market Initiated Defeasance Event, any Extraordinary Expenses incurred or accrued by the Fund which would give rise, directly or indirectly, to a Floor Shortfall or increase, directly or indirectly, an existing Floor Shortfall, but for the adjustment required under Section 2.5(b)(ii); and (ii) following the occurrence of a Trigger Initiated Defeasance Event or a Market Initiated Defeasance Event, any Fund Fees and Expenses incurred or accrued by the Fund that exceed 130 basis points per annum (on an annualized basis) of the average daily Net Assets of the Fund for the Class A Shares, 205 basis points per annum (on an annualized basis) of the average daily Net Assets of the Fund for the Class B Shares, 205 basis points per annum (on an annualized basis) of the average daily Net Assets of the Fund for the Class C Shares and 155 basis points per annum (on an annualized basis) of the average daily Net Assets of the Fund for the Class N Shares.

Examples of Excess Fees in a sentence

  • Interested parties shall then have 14 days to file an objection to the Notice of Excess Fees with the Court.

  • If after 14 days no objection is filed, the Excess Fees shall be deemed approved, and the OCP may be paid 100 percent of its fees and 100 percent of its expenses without the need to file a fee application.

  • To the extent an OCP seeks compensation in excess of the applicable OCP Monthly Cap (the “ Excess Fees”), the OCP shall (i) file with the Court a Notice of Fees in Excess of the OCP Monthly Cap (the “Notice of Excess Fees”) and an invoice setting forth, in reasonable detail, the nature of the services rendered and disbursements actually incurred, including all time entries and all fees incurred by the OCP for the relevant month and (ii) serve the Notice of Excess Fees on the Notice Parties.

  • If after 14 days no objection is filed, the Excess Fees shall be deemed approved, and the OCP may be paid 100% of its fees and 100% of its expenses without the need to file a fee application.

  • If after 14 days no objection is filed, the Excess Fees shall be deemed approved, and the Ordinary Course Professional may be paid 100% of its fees and 100% of its expenses without the need to file a fee application.


More Definitions of Excess Fees

Excess Fees means (i) on or prior to the occurrence of a Permanent Defeasance Event, any Extraordinary Expenses incurred or accrued by the Fund which would give rise, directly or indirectly, to a PV Shortfall or increase, directly or indirectly, an existing PV Shortfall, but for the adjustment required under Section 2.5(b)(ii), and (ii) following the occurrence of a Permanent Defeasance Event, any Fund Fees and Expenses incurred or accrued by the Fund that exceed 1.05% per annum of the average daily Net Assets of the Fund for the Class A Shares, 2.05% per annum of the average daily Net Assets of the Fund for the Class B Shares, 2.05% per annum of the average daily Net Assets of the Fund for the Class C Shares and 1.30% per annum of the average daily Net Assets of the Fund for the Class D Shares.
Excess Fees has the meaning given to it in Clause 3.1.3;
Excess Fees means Fund fees and expenses (other than Investment Related Expenses) accruing in excess of the limitations provided in the Expense Limitation Agreement, including, without limitation, Income Taxes and any extraordinary expenses (as described in the Expense Limitation Agreement), including any indemnification claims made by the Warranty Provider against the Fund and the Adviser pursuant to this Agreement.
