Upon completion of a Net Proceeds Offer, the Excess Net Proceeds relating to such Net Proceeds Offer will be deemed to be zero for purposes of any subsequent Asset Sale.
Following the occurrence of an Asset Sale, the Company will be required to apply the Excess Net Proceeds therefrom to an offer to purchase outstanding Notes upon the terms set forth in the Agreement.
