Excess Net Proceeds definition

Excess Net Proceeds has the meaning set forth in Section 2.11(c).
Excess Net Proceeds shall have the meaning set forth in Section 6.4(b)(vii) hereof.
Excess Net Proceeds means Net Cash Proceeds of any Asset Sale not applied in accordance with clause (iii)(x) or (y) of the first paragraph of Section 4.16.

  • Upon completion of a Net Proceeds Offer, the Excess Net Proceeds relating to such Net Proceeds Offer will be deemed to be zero for purposes of any subsequent Asset Sale.

  • Following the occurrence of an Asset Sale, the Company will be required to apply the Excess Net Proceeds therefrom to an offer to purchase outstanding Notes upon the terms set forth in the Agreement.

More Definitions of Excess Net Proceeds

Excess Net Proceeds means, with respect to any Liquidity Event, the excess, if any, of the Net Proceeds of such Liquidity Event over the sum of the payments permitted to be made pursuant to Section 7.1(b) with respect to such Liquidity Event.
Excess Net Proceeds means an amount equal to the Net Proceeds minus the Aggregate Company SARs/Option Holder Closing Date Payment; provided, that if number resulting from such calculation is negative, the Excess Net Proceeds shall be deemed to be zero.
