Exchange Debt definition

Exchange Debt means, at any time, the series of Eligible Debt for which the then existing series of Covered Debt is exchanged pursuant to an Automatic Redesignation Event.
Exchange Debt means outstanding debt obligations of EQT that are exchanged for Retained Shares pursuant to the Debt-for-Equity Exchange, if any.
Exchange Debt shall have the meaning set forth in Section 2.12(a).

More Definitions of Exchange Debt

Exchange Debt has the meaning specified in the recitals to this Agreement.
Exchange Debt means the aggregate of (i) all of the outstanding principal amount of the Loans (as defined in the Original Agreement) in excess of an amount equal to the aggregate Term Loans (as defined in the New Credit Agreement and after giving to any revisions required pursuant to Section 2.1 of this Agreement) as of the Consummation Date, (ii) all accrued and unpaid interest and commitment fees in respect of the indebtedness under the Original Agreement as of the Consummation Date, other than that amount of interest determined to be "Adjusted Existing Accrued Interest" under the terms of the New Credit Agreement, and (iii) the Forbearance Fee.

Exchange Debt means indebtedness for borrowed money issued by the Company or any of its subsidiaries (including indebtedness to finance acquisitions or other non-working capital needs), other than indebtedness incurred to finance ordinary course working capital needs of the Company and its subsidiaries, provided by an institutional lender whose loans are regulated by law (such as banks, trust companies, credit unions and commercial loan agencies) having aggregate capital and surplus in excess of $1 billion.
