Exchange Offer Documents definition

Exchange Offer Documents means all agreements and documents relating to the Exchange Offer, as the same may be amended, modified and/or supplemented from time to time in accordance with the terms hereof and thereof.
Exchange Offer Documents means the Offer to Exchange and consent and letter of transmittal related to the Exchange Offer.
Exchange Offer Documents is defined in Section 2.1(h).

  • CIG shall, and shall cause its controlled Affiliate to, (i) validly tender in the Exchange Offer and not withdraw all of the shares of 14¼% Preferred and 9¾% Preferred it holds and (ii) consent to the Proposed Amendments in the manner provided in the Exchange Offer Documents.

  • The Company shall promptly correct or supplement any information in the Exchange Offer Documents if and to the extent that it shall have become false and misleading in any material respect, and the Company shall take all steps necessary to cause the Exchange Offer Documents as so corrected to be filed with the SEC and to be disseminated to the holders of Senior Preferred Stock, in each case as and to the extent required by applicable federal securities laws.

  • No fractional shares of our Class A common stock or our Class B common stock will be distributed in the spin-off.

  • CIG, the NBCU Entities and their respective counsel shall be given a reasonable opportunity to review and comment on the initial Exchange Offer Documents before they are filed with the SEC.

  • In addition, the Company shall provide CIG, the NBCU Entities and their respective counsel with any comments or other communications that it or its counsel may receive from time to time from the SEC or its staff with respect to the Exchange Offer Documents promptly after the receipt of such comments or other communications.

Exchange Offer Documents means the New Foamex Indenture and the New Foamex Registration Rights Agreement.
Exchange Offer Documents means (i) the prospectus included in the Registration Statement on Form S-1 or other appropriate SEC form, which prospectus is to be delivered by USE ("USE Prospectus") as a part of the Exchange Offer Documents pursuant to paragraph 2 of this Agreement and which registration statement shall have registered and/or qualified by the first day of the Exchange Period the offers to sell (exchange) and the sale (exchange) of the USE Shares and USE Warrants by USE and the exercise of the USE Warrants to purchase the USE Shares underlying the USE Warrants with the SEC and the states in which the Investors, the Investors' assignees, the Warrantholders and the holders of the Exercise Shares reside and (ii) such accompanying documents, including the form of notice of election to exchange, as are necessary to effect the exchange pursuant to this Agreement.
