Exchangeco has the meaning ascribed thereto in the introductory paragraph;

Exchangeco means StarPoint Exchangeco Ltd., a corporation incorporated under the ABCA and a wholly-owned subsidiary of the Trust;

Exchangeco means OCGH ExchangeCo, L.P., a Delaware limited partnership.

Any such meeting or meetings shall be called and held in accordance with the articles of Exchangeco, the Exchangeable Share Provisions and all applicable laws.
