Excluded IP definition

Excluded IP has the meaning assigned to such term in the U.S. Security Agreement.
Excluded IP means (i) any Software licensed to or on behalf of a Non-Securitization Entity and (ii) any proprietary software owned by a Non-Securitization Entity (other than the Contributed Software).
Excluded IP means (a) any Intellectual Property arising under the laws of any jurisdiction other than the United States, any state thereof or the District of Columbia, (b) any trademarks owned and used by a Non-Securitization Entity principally for its own corporate purposes that are not otherwise included in Securitization IP and (c) any commercially available Software licensed to or on behalf of any Non-Securitization Entity.

  • Without limiting the foregoing, this Agreement and the licenses and rights granted herein do not, and shall not be construed to, confer any rights upon either Party, its Affiliates, or its Sublicensees by implication, estoppel, or otherwise as to any of the other Party’s Intellectual Property (including, for clarity, any Excluded IP, except to the extent expressly licensed under Section 2.4).

  • If in the course of Employee’s employment, Employee uses or incorporates into any Work Product or Tangible Embodiment any Inventions (including any Excluded IP) in which Employee or a third Person has any interest and which is not covered by Section 4(b) hereof, Employee will promptly so inform the Company.

  • If no list is attached (or if the list is empty), then Employee hereby represents and warrants that there is no Excluded IP.

  • Employee hereby represents and warrants that Employee is not subject to any obligation to any third Person, including any former employer, that would be inconsistent with any provision of this Agreement, including with respect to any Excluded IP, and that Employee has the right to grant the license and rights granted in Section 5(b).

  • Employee hereby represents and warrants that all Excluded IP licensed to the Employer pursuant to Section 5(b) do not (and all Work Product will not) infringe, misappropriate, dilute, or otherwise violate any third Person’s patents, copyrights, trademarks, trade secrets, or other intellectual property rights or other rights.


More Definitions of Excluded IP

Excluded IP means (i) DuPont Safety, Health and Environmental Standards (including AgCo Licensed SHE Standards), (ii) Engineering Standards (including the AgCo Licensed Engineering Standards), (iii) Regulatory Data, (iv) Operating Systems and Tools (as that term is defined in the OS&T License Agreement), (v) the Licensed Software, Plant Configuration, Firmware, MODTM 5 Hardware and MODTM 5 Systems (as the foregoing terms in this subsection (v) are defined in the MODTM 5 Software Agreement) (collectively, the “MOD5 Systems Excluded IP”), (vi) Trademarks, and (vii) the Intellectual Property set forth on Schedule A.
Excluded IP means any Patent, Trademark or Copyright not set forth on Schedule 3 hereto (as amended, supplemented or otherwise updated or confirmed from time to time).
Excluded IP means any and all Intellectual Property used (or held for use) in or relating to the products and technology listed on Schedule 1.2, other than the Trademarks (including domain names) listed on Schedule 1.7(a).
