Excluded Personal Property means the following:

• For avoidance of doubt, the foregoing shall not prohibit (i) the Master Lessee from granting a Lien to Mortgage Borrower on portions of the Excluded Personal Property, subject to the Assigned Landlord Lien, or (ii) the Mortgage Borrower, Master Lessee or any Tenant under any Individual Property Sublease or Sublease permitted under Section 8.8.2 from entering into any Permitted Encumbrance.

Excluded Personal Property means, collectively, (a) all of the personal property of Master Lessee (including, without limitation, all inventory and equipment, but excluding any items that constitute fixtures), (b) any licenses or other intellectual property relating to the trade names “Toys ‘R’ Us” or “Babies ‘R’ Us” and (c) any personal property of third-party Tenants under Subleases. For purposes of this definition, the terms “inventory”, “equipment” and “fixtures” shall have the meaning set forth in the Uniform Commercial Code in effect in the State of New York, except that the term “fixtures” shall specifically include, but not be limited to, and the terms “inventory” and “equipment” shall specifically exclude, all HVAC equipment, elevators, escalators and lighting together with all equipment, parts and supplies used to service, repair, maintain and equip the foregoing.

Excluded Personal Property has the meaning set forth in Section 2.2(b)(vi). “Excluded Real Property” has the meaning set forth in Section 2.2(b)(v).

Excluded Personal Property means (1) all tangible personal property owned or leased by the Residents and Tenants (each as defined below) or other occupants of the Property, and (2) those items set forth on Schedule 1.4 attached hereto;
