Excluded Shareholder definition

Excluded Shareholder means a Shareholder: (i) that is a Non-Resident; (ii) that is a Tax Exempt Shareholder; (iii) that is a partnership; (iv) that would acquire Exchangeable LP Units as a “tax shelter investment” for the purposes of the Tax Act; or (v) an interest in which is a “tax shelter investment” for the purposes of the Tax Act;
Excluded Shareholder means, with respect to any Investment, any Shareholder that is excluded pursuant to Section 5.05(a) from making all or a portion of its Capital Contribution that would otherwise be required in respect of such Investment.
Excluded Shareholder means any of the Company's then current or former directors or employees, in each case that is a Piggyback Shareholder or a Requesting Shareholder.
