No Commission shall be paid to Broker with respect to any tenant who is an Excluded Tenant (see Exhibit C for a list of Excluded Tenants); however, after the expiration of one hundred eighty (180) days from the date of this Agreement, such Excluded Tenants shall not be excluded from future lease transactions that are executed from and after the expiration of such one hundred eighty day period.
Subject to the terms of Section 29.14 of the Lease, Landlord is prohibited from entering into a direct lease of space and from consenting to a "Transfer," as that term is defined in Section 14.1 of the Lease, to "Tenant Competitors," as that term is defined in Section 29.14 of the Lease, and to "Excluded Tenants," as that term is defined in Section 29.14 of the Lease.
If Contributor satisfies the above requirement, but (despite its good faith and diligent efforts) has been unable to obtain all of the remaining Estoppel Certificate(s) from any Tenants (other than the Excluded Tenants), then Contributor's representations set forth in this Agreement with respect to the leases of such Tenant(s) shall survive the Closing, subject to the terms of the last paragraph of Section 7.1 hereof.
In the event that any updating of a schedule or document to be delivered at the Closing (e.g., rent roll) causes a representation or warranty of Contributor set forth in this Agreement to become untrue or incorrect in any material fashion from the information set forth on such schedule or document on the Effective Date (other than with respect to the Excluded Tenants (defined below) or The Casual Male, Inc.), this condition precedent shall be deemed not to have been satisfied.
Tenant's under existing leases at the Shopping Center as of the date hereof not subject to the aforementioned restrictions are set forth on Exhibit "F" attached hereto and hereby made a part hereof (the "Excluded Tenants").
