Executive Units definition

Executive Units means collectively the Class B Units and the Class M Units. Such Units shall continue to be Executive Units in the hands of any holder other than Executive (except for the Company, the Investors and transferees in a Public Sale), and except as otherwise provided herein, each such other holder of Executive Units shall succeed to all rights and obligations attributable to Executive as a holder of Executive Units hereunder. Executive Units shall include both vested and unvested Executive Units and shall include interests in the Company issued with respect to Executive Units by way of any recapitalization.

Executive Units means the Class C Common Units issued to Executive hereunder and units of the Company’s equity or other capital interests issued with respect to such Class C Common Units by way of a split, combination, distribution or other recapitalization.

Executive Units means collectively the Class A Units, Class L --------------- Units, the Class B Units, the Class C Units and the Membership Interest acquired by the Executive pursuant to Section 1. Such Units shall continue to be Executive Units in the hands of any holder other than Executive (except for Holdings, Bain/ACR and transferees in a Public Sale), and except as otherwise provided herein, each such other holder of Executive Units shall succeed to all rights and obligations attributable to Executive as a holder of Executive Units hereunder. Executive Units shall include both vested and unvested Executive Units and shall include interests in Holdings or ACR Management issued with respect to Executive Units by way of any split, dividend or recapitalization.

Examples of Executive Units in a sentence

• Any Transfer or attempted Transfer of any Executive Units in violation of any provision of this Agreement shall be void, and the Company shall not record such Transfer on its books or treat any purported transferee of such Executive Units as the owner of such membership Units for any purpose.

• The parties hereby agree that the Executive Units will be subject to all of the restrictions and other terms and conditions set forth in the Securityholders Agreement.

• The Repurchase Notice will set forth the number of Executive Units to be acquired from such holder(s), the aggregate consideration to be paid for such Units and the time and place for the closing of the transaction.

• Except as otherwise provided herein, this Agreement shall bind and inure to the benefit of and be enforceable by Executive, the Company, the Investors and their respective successors and assigns (including subsequent holders of Executive Units); provided, that the rights and obligations of Executive under this Agreement shall not be assignable except in connection with a permitted transfer of Executive Units hereunder.

• The Company and/or the Investors, as the case may be, will receive customary representations and warranties from each seller regarding the sale of the Executive Units, including but not limited to the representation that such seller has good and marketable title to the Executive Units to be transferred free and clear of all liens, claims and other encumbrances.

More Definitions of Executive Units

Executive Units means, at any time, (i) all Common Units and Preferred Units then held by MCS, Executive or a Family Member, and (ii) all equity securities of CSC issued or issuable directly or indirectly with respect to such Units in connection with a combination of Units, dividend, recapitalization, merger, consolidation, reorganization or otherwise. In addition, Executive Units shall continue to be Executive Units in the hands of any holder (except to the extent such holder is CSC, any Investor or a transferee in a Public Sale consummated in accordance with this Agreement or the Securityholders Agreement), and except as otherwise provided herein, each such holder of Executive Units shall succeed to all rights and obligations attributable to Executive or MCS, as the case may be, as a holder of Executive Units hereunder.

Such Units shall continue to be Executive Units in the hands of any holder other than Executive and the Trustee for the benefit of the XXX (except for the Company, the Investors and transferees in a Public Sale), and except as otherwise provided herein, each such other holder of Executive Units shall succeed to all rights and obligations attributable to Executive as a holder of Executive Units hereunder. Executive Units shall include both vested and unvested Executive Units and shall include interests in the Company issued with respect to Executive Units by way of any recapitalization.

Executive Units means collectively the Class A Common Units, Class --------------- L Common Units and Percentage Interest acquired by the Executive pursuant to Section 1. Such Units shall continue to be Executive Units in the hands of any holder other than Executive (except for the Company, the Investor and transferees in a Public Sale), and except as otherwise provided herein, each such other holder of Executive Units shall succeed to all rights and obligations attributable to Executive as a holder of Executive Units hereunder. Executive Units shall be interests in the Company issued with respect to Executive Units by way of any split, dividend or recapitalization.

Executive Units means all Common Units and Management Units acquired by Executive hereunder and under the Contribution Agreement. “Executive Units” will continue to be Executive Units in the hands of any holder other than Executive (except for the Partnership and transferees in a Public Sale), and except as otherwise provided herein or in the Partnership Agreement, each such other holder of Executive Units will succeed to all rights and obligations attributable to Executive as a holder of Executive Units hereunder. Executive Units will also include units of the Partnership issued with respect to Executive Units by way of a unit split, dividend, exchange or other recapitalization. Notwithstanding the foregoing, all Unvested Units shall remain Unvested Units after any Transfer thereof, to the extent any Transfer is permitted hereunder.

Executive Units means any Units held by an Executive Member and shall continue to be Executive Units in the hands of any holder other than such Executive Member (except for the Company and the Foundation Members).

Executive Units means those certain limited partnership interests in NDEx Holdings defined as “Executive Units” in the NDEx Holdings Partnership Agreement.

Executive Units means, collectively, the Executive Common Units issued hereunder the Executive Preferred Units issued pursuant to Section 4.1(d) of the LLC Agreement, in each case, subject to the restrictions set forth herein, whether such Executive Common Units and/or Executive Preferred Units are Vested Units or Unvested Units.
