Exercise Event Notice definition

Exercise Event Notice the meaning specified in Section 1.1.
Exercise Event Notice means a written notice from the Company to the registered holders of the Warrants informing them of the anticipated Exercise Event and containing the following information:2(i)the applicable anticipated Exercise Price resulting from the anticipated Exercise Event, and(ii)the anticipated earliest date upon which the Exercise Event would occur.
Exercise Event Notice has the meaning set forth in Section 2.1(c) hereof.

Examples of Exercise Event Notice in a sentence

  • The Warrantholder shall, at its option, exercise the Shadow Warrant for the number of Warrant Shares set forth in the Exercise Event Notice, on or before the earlier of the fifth anniversary of receipt of the Exercise Event Notice or the expiration of the Exercise Period, after which time the Shadow Warrant shall expire as to the Warrant Shares which were the subject of the Exercise Event Notice.

  • On each occasion on which an Exercise Event occurs, the Company shall give the holder of the Shadow Warrant written notice thereof setting forth all material information relating to the Exercise Event, including the number of Exercise Shares being issued and the corresponding number of Warrant Shares for which the Shadow Warrant is then exercisable and any adjustments thereto (the "Exercise Event Notice"), within 30 days of the Company first obtaining notice of such Exercise Event.

  • The Holder hereby waives, and the Company accepts its waiver of, its right to receipt of an Exercise Event Notice.

  • The Warrants will be exercisable, at the option of the Holder, in whole or in part at any time from the time the Holder receives the Exercise Event Notice until 12:00 p.m. on the day of the Exercise Event ("Expiration Time") and upon surrender of this Warrant Certificate to the Company, together with a duly completed Notice of Exercise in the form attached hereto as Exhibit A, and payment of an amount equal to the Exercise Price times the number of Warrants to be exercised.

  • The Company shall provide the Holder with Notice of an Exercise Event at least ten (10) days before the occurrence of the Exercise Event ("Exercise Event Notice").

  • At least 30 days prior to the earlier of (i) the effective date of any Exercise Event or (ii) any record date of holders of Common Stock for the purpose of approving or participating in any such Exercise Event, the Company shall give the holder of this Warrant written notice thereof (an "Exercise Event Notice") setting forth all material information relating to the proposed Exercise Event.

  • In accordance with a notice of Cashless Exercise Event, the exercise of a Warrant covered by a Cashless Exercise Event Notice may be conditioned upon the occurrence of the Cashless Exercise Event.

  • The holder shall then have the right to exercise this Warrant at -6- 7 any time between the date of such Exercise Event Notice and the earlier of such effective date or such record date by delivery to the Company of a Notice of Exercise duly executed by such holder specifying the number of shares of Common Stock to be purchased.

Related to Exercise Event Notice

  • Exercise Event shall have the meaning ascribed to such term in Section 2(c).

  • Notice Event means any of the events enumerated in paragraph (b)(5)(i)(C) of the Rule and listed in Section 4(a) of this Disclosure Agreement.

  • Adjustment Notice has the meaning provided such term in Section 2.3(b).

  • Payment Notice has the meaning assigned to it in Section 8.06(c).

  • Notice-triggering PI means the PI identified in CCC § 1798.29(e) whose 25 unauthorized access may trigger notification requirements under CCC § 1709.29. For purposes of this 26 provision, identity shall include, but not be limited to, name, identifying number, symbol, or other 27 identifying particular assigned to the individual, such as a finger or voice print, a photograph or a 28 biometric identifier. Notice-triggering PI includes PI in electronic, paper or any other medium.

  • Reset Notice has the meaning specified in Section 3.07.

  • Exercise Notice Deadline In respect of any exercise of Options hereunder on any Conversion Date, the “Scheduled Trading Day” prior to the scheduled first “VWAP Trading Day” of the “Observation Period” (each as defined in the Indenture, but, in the case of any such Observation Period, as modified by the provision set forth opposite the caption “Convertible Security Settlement Method”) relating to the Convertible Securities converted on the Conversion Date occurring on the relevant Exercise Date; provided that in the case of any exercise of Options hereunder in connection with the conversion of any Relevant Convertible Securities on any Conversion Date occurring during the period starting on and including June 4, 2020 and ending on and including the second “Scheduled Trading Day” immediately preceding the “Maturity Date” (each as defined in the Indenture) (the “Final Conversion Period”), the Exercise Notice Deadline shall be noon, New York City time, on the “Scheduled Trading Day” (as defined in the Indenture) immediately preceding the “Maturity Date” (as defined in the Indenture).

  • Exercise Termination Event (i) the Effective Time (as defined in the Merger Agreement) of the Merger; (ii) termination of the Merger Agreement in accordance with the provisions thereof if such termination occurs prior to the occurrence of an Initial Triggering Event, except a termination by Grantee pursuant to Section 8.1(d) of the Merger Agreement (unless the breach by Issuer giving rise to such right of termination is non-volitional); or (iii) the passage of 12 months after termination of the Merger Agreement if such termination follows the occurrence of an Initial Triggering Event or is a termination by Grantee pursuant to Section 8.1(d) of the Merger Agreement (unless the breach by Issuer giving rise to such right of termination is non-volitional) (provided that if an Initial Triggering Event continues or occurs beyond such termination and prior to the passage of such 12-month period, the Exercise Termination Event shall be 12 months from the expiration of the Last Triggering Event but in no event more than 18 months after such termination). The "Last Triggering Event" shall mean the last Initial Triggering Event to expire. The term "Holder" shall mean the holder or holders of the Option.

  • Retraction Notice has the meaning set forth in Section 11.01(c).

  • Option Notice has the meaning set forth in Section 5.2(a).

  • Settlement Notice has the meaning specified in Section 14.02(a)(iii).

  • Escalation Notice has the meaning set forth in Section 8.02.

  • Replacement Notice is defined in Section 4.11.

  • Opt-Out Notice has the meaning specified therefor in Section 2.02(a) of this Agreement.

  • Election Notice has the meaning set forth in Section 11.01(b).

  • Purchase Event means any of the following events:

  • Disagreement Notice has the meaning set forth in Section 2.2.3.1(b).

  • Put Option Notice means a notice which must be delivered to a Paying Agent by any Noteholder wanting to exercise a right to redeem a Note at the option of the Noteholder;

  • Forced Conversion Notice Date shall have the meaning set forth in Section 6(d).

  • Forced Conversion Notice shall have the meaning set forth in Section 6(d).

  • Termination Notice means the communication issued in accordance with this Agreement by one Party to the other Party terminating this Agreement;

  • Mandatory Purchase Event means, (i) in connection with the termination of the VRDP Shares Purchase Agreement due to its expiration as of a Scheduled Termination Date, by the fifteenth day prior to any such Scheduled Termination Date, (a) the Liquidity Provider shall not have agreed to an extension or further extension of the Scheduled Termination Date to a date not earlier than 364 days from the Scheduled Termination Date of the VRDP Shares Purchase Agreement then in effect, and (b) the Corporation shall not have obtained and delivered to the Tender and Paying Agent an Alternate VRDP Shares Purchase Agreement with a termination date not earlier than 364 days from the Scheduled Termination Date of the VRDP Shares Purchase Agreement, or (ii) in connection with the termination of the VRDP Shares Purchase Agreement due to a Liquidity Provider Ratings Event or Related Party Termination Event, by the fifteenth day prior to the Liquidity Provider Ratings Event Termination Date or Related Party Termination Date, as the case may be, the Corporation shall not have obtained and delivered to the Tender and Paying Agent an Alternate VRDP Shares Purchase Agreement with a termination date not earlier than 364 days from the Liquidity Provider Ratings Event Termination Date or Related Party Termination Date, as the case may be, of the VRDP Shares Purchase Agreement. The Mandatory Purchase Event shall be deemed to occur on such fifteenth day prior to any Scheduled Termination Date, Liquidity Provider Ratings Event Termination Date or Related Party Termination Date, as the case may be.

  • End of Suspension Notice has the meaning set forth in Section 1(f)(ii).

  • Early Termination Notice is defined in Section 4.2 of this Agreement.

  • Purchase Option Notice As defined in Section 3.18(e).

  • Call Option Notice means a written notice from the holder of the Call Option or the Administrator, as applicable, stating its desire to exercise the Call Option on the related Reset Date, delivered to each Clearing Agency, the Indenture Trustee, the Remarketing Agents, the Rating Agencies and, if the related class of Reset Rate Notes is then listed on the Luxembourg Stock Exchange, the Administrator will forward a copy to the Luxembourg Listing Agent (the contents of which are to be published in a leading newspaper having general circulation in Luxembourg).
