Exercise Rate definition

Exercise Rate has the meaning given to it in Section 12.

Exercise Rate means the number and kind of shares of capital stock of the Company which the Holder of this Warrant shall be entitled from time to time to receive for each $1,000.00 of warrant exercise payment. Unless and until an adjustment thereof shall be required as hereinafter provided, the Exercise Rate shall be 24.39 shares of Common Stock.

Exercise Rate means the number of Common Shares issuable upon exercise of the Warrants pursuant to Section 1 determined by dividing (i) $1,000 by (ii) the Exercise Price.

Examples of Exercise Rate in a sentence

• The notice shall state the increased Exercise Rate and the period it will be in effect.

• The Company shall give the notice at least 15 days before the date the increased Exercise Rate takes effect.

• In the event that such dividend or distribution is not so paid or made or such subdivision, combination or reclassification is not effected, the Exercise Rate shall again be adjusted to be the Exercise Rate which would then be in effect if such record date or effective date had not been so fixed.

• E = the Exercise Rate immediately prior to the Time of Determination for any such issuance, sale or distribution.

• Whenever the Exercise Rate is so increased, the Company shall mail to holders at the addresses appearing on the Warrant Register and file with the Warrant Agent a notice of the increase.

Exercise Rate has the meaning set forth in Section 2.

Exercise Rate means expressed as a percentage, the amount of Account Balances generated pursuant to a SAC Promotion which is paid off by Cardholders prior to the expiration of the promotional period divided by the total volume of Card Sales generated pursuant to the SAC Promotion.
