Existing Compounds definition

Existing Compounds means the [***] BCL-2/BCL-xL inhibitor compounds collectively comprising Ascentage’s BCL-2/BCL-xL library as of the Effective Date, and includes the [***] BCL-2/BCL-xL inhibitor compounds previously provided to Unity by Ascentage for analysis under that certain Materials Transfer Agreement entered into by the parties on March 19, 2015 (“Prior Compounds”). Notwithstanding the foregoing, APG-1252 shall not be considered an Existing Compound for purposes of this Agreement.
Existing Compounds means those compounds Controlled by Vertex (other than VX-680) that have been synthesized by Vertex prior to the Effective Date and whose primary activity is the inhibition of one or more Aurora kinases, [***] including those compounds specifically identified in Schedule 1.19.

Examples of Existing Compounds in a sentence

  • Commencing on the Effective Date and continuing for the duration of Term, Unity shall have the right to designate one or more Existing Compounds as Unity Active Compound, by providing Ascentage with written notice as described in Section 2.5.2(a) below and subject to the requirements of Section 2.5.2(b) below.

  • Without prejudice to and acknowledging the designation of Ascentage Active Compounds as set forth in Section 2.5.1(a), commencing on the [***] ([***]) [***] anniversary of the Effective Date and continuing for the duration of Term, Ascentage shall have the right to designate one or more Existing Compounds as Ascentage Active Compounds, by providing Unity with written notice as described in Section 2.6.2(a) below and subject to the requirements of Section 2.6.2(b) below.

  • Within the Grace Period, Ascentage hereby covenants that it shall not research or develop any Existing Compounds or Future Ascentage Compounds for the diagnosis, prophylaxis, treatment or palliation of any indication that is not an Oncology Indication unless such Existing Compound or Future Ascentage Compound [***].


More Definitions of Existing Compounds

Existing Compounds means any and all of the chemical compounds claimed in the Existing Patents, and shall also include all salts, esters, isomers, metabolites and pro-drug forms thereof.
Existing Compounds means: (a) all compounds listed on Exhibit 1.25; and (b) [ * ] of such compounds.
Existing Compounds means the Compounds that are disclosed in the Patents listed on Schedule 1.24, excluding Ronacaleret and the Transferred Compounds.

For reference, such list of Existing Compounds is listed on Exhibit A hereto, provided that failure to include any Existing Compound in Exhibit A will not result in such omitted item not being considered an Existing Compound pursuant to this Agreement.
