Existing Guarantees definition

Existing Guarantees means those Guarantees of the Existing Notes.
Existing Guarantees means (i) the Guarantee & Agreement dated as of July 26, 2007 (as amended, supplemented or otherwise modified from time to time) between Penn Octane Corporation (“POC”) and Lender, (ii) the Guarantee & Agreement dated as of July 26, 2007 (as amended, supplemented or otherwise modified from time to time) between Rio Vista Operating Partnership L.P. (“RVOP”) and Lender and (iii) the Guarantee & Agreement dated as of July 26, 2007 (as amended, supplemented or otherwise modified from time to time) between Regional Enterprises, Inc. (“Regional”) and Lender.
Existing Guarantees means the Guarantees of the Term Loans, the Notes and certain obligations under the Credit Agreement that exist on the date of this Indenture.

  • Except to the extent of the amendments effected strictly in accordance with this Agreement, the Working Capital Notes Documents (including, without limitation, the Existing Guarantees and the Existing Transaction Security) shall continue in full force and effect.


More Definitions of Existing Guarantees

Existing Guarantees means all guarantees provided in relation to the Refinancing Debt.
Existing Guarantees means, collectively, the following: (a) the Guarantee Agreement, dated as of March 17, 2005, by and between the Borrower, as guarantor, and Wilmington Trust Company, and issued in connection with the Structured Securities issued on or about March 17, 2005; (b) the Guarantee Agreement, dated as of June 15, 2005, by and between the Borrower, as guarantor, and Wilmington Trust Company, and issued in connection with the Structured Securities issued on or about June 15, 2005; (c) the Guarantee Agreement, dated July 25, 2006, by and between the Borrower, as guarantor, and Wilmington Trust Company, and issued in connection with the Structured Securities issued on or about July 25, 2006; and (d) the Guarantee Agreement, dated as of March 22, 2007, by and between the Borrower, as guarantor, and Wilmington Trust Company, and issued in connection with the Structured Securities issued on or about March 22, 2007; in each case pursuant to which the Borrower agreed to guarantee the payment of distributions and payments on liquidation or redemption of the trust preferred securities issued in connection therewith, but only in each case to the extent of funds held by the trust that issued such trust preferred securities (such obligations of the Borrower under such guarantee agreements are subordinate to all of the Borrower’s senior and subordinated debt).
Existing Guarantees means guaranties or guarantees of the Obligations entered into by certain Subsidiaries of the Company dated as of a date on or prior to this Agreement, including the following guaranties or guarantees by the subsidiaries of the Company named therein, in each case as at any time amended, modified, supplemented, renewed or extended:
Existing Guarantees means each of (i) the guarantees, covenants to pay and similar obligations given by any other entity of the KEL Group in relation to the liabilities and obligations of the Company or (ii) liabilities and obligations of the KEL Group guaranteed by the Company.
