Existing Materials definition

Existing Materials means Materials created, made or discovered by you prior to or outside the scope of your engagement that you use or supply in the course of your engagement.
Existing Materials means any confidential or proprietary materials which belong to third parties or in which Chordiant has a pre-existing intellectual property interest.
Existing Materials means any Material that is in existence at the Commencement Date or is subsequently brought into existence, other than as a result of the performance of the Activities and this Deed.

Examples of Existing Materials in a sentence

  • If, however, Contractor fails to disclose to the Department such Contractor Pre-Existing Materials, Contractor shall grant the Department a nonexclusive, worldwide, paid-up license to use any Contractor Pre-Existing Materials embedded in the Work Product to the extent such Contractor Pre- Existing Materials are necessary for the Department to receive the intended benefit under this contract.

  • Such license shall remain in effect for so long as such Pre- Existing Materials remain embedded in the Work Product.

  • Existing Materials to Remain: Protect construction indicated to remain against damage and soiling from construction work.

  • Existing Materials and Equipment may be required to be modified by Contractor or any Subcontractor in the performance of the Work.

  • Nothing in this Section 29 will be construed to interfere with the Contractor’s or its affiliates’ ownership of Pre- Existing Materials.


More Definitions of Existing Materials

Existing Materials means any Materials in which Intellectual Property Rights subsist (which, in the case of the Supplier, are incorporated into a Deliverable or Service or to which the Customer otherwise requires a licence in order to enjoy the benefit of this Agreement or any obligations performed for the Customer under it):
Existing Materials has the meaning set forth in Section 5.15(b).
Existing Materials means any confidential or proprietary materials in which Logically or its suppliers have an intellectual property interest and/or proprietary works of authorship, pre-existing or otherwise, that have not been created specifically for Customer, including, without limitation, computer programs, methodologies, templates flowcharts, architecture designs, tools, specifications, drawings, sketches, models, samples, administrative records, and documentation, as well as copyrights, trademarks, service marks, ideas, concepts, know-how, techniques, knowledge, or data, and any derivatives thereof, which have been originated, developed, or purchased by Logically, a parent or affiliate of Logically, or by third parties under contract to Logically or to a parent or affiliate of Logically.
Existing Materials has the meaning given in Clause 3.2;
Existing Materials shall have the meaning given such term in SECTION 14.1.
Existing Materials has the meaning specified in Section 6.21(b).
Existing Materials has its meaning set forth in Section 10(a).
