In the event of any inconsistency or conflict between the terms of this Schedule and the terms of the Existing RCF Agreement, the terms of this Schedule will prevail.
Provided that the Company is in compliance with the restrictions set out in this Schedule, each Consenting Creditor that is an Existing RCF Lender agrees that, during the Restructuring Period, it will not object to withdrawals from the Non-Conflicted Account as provided for in Paragraph 1.11 (Non-Conflicted Account) pursuant to sup-paragraphs (iv)(B)(2)(z), (vii)(B)(2)(z) and (xv)(II)(2)(z) of clause 23.5(b) of the Existing RCF Agreement.
Upon written confirmation by the Administrative Agent, the financial covenants under sub-clauses (a) and (b) above shall automatically be amended to match the financial covenants under the Existing RCF Agreement as amended, supplemented, replaced or refinanced (and the Borrower hereby agrees, promptly upon request of the Administrative Agent, to execute such agreements and documents to effectuate such amendments to this Agreement).
The Borrower shall use the proceeds of all Loans to (i) refinance a portion of the Indebtedness under the Existing RCF Agreement, (ii) finance its working capital and general corporate purposes and (iii) pay fees and expenses related to this Agreement and the Transactions and the closing of the Transactions.
Vitol entered into Amendment No. 16 to the Existing Term Loan Agreement, dated as of the date hereof, the Existing RCF Agreement, and the SOA and Storage Services Agreement in reliance upon the agreements set forth in this Agreement which, among other matters, grant priority to the RCF Obligations as Senior Obligations and the RCF Liens as Senior Liens as described below.
