Existing Transactions definition

Existing Transactions means the Acquisition and the financing thereof, the Altice USA Distribution, the issuance of the Existing Senior Guaranteed Notes and the Existing Senior Notes and the entry into and borrowings under the Senior Secured Facilities (and any amendments thereof).

More Definitions of Existing Transactions

Existing Transactions means (i) the Management Agreement between Presidio and Northstar Manager (the "Northstar Management Agreement"), (ii) the employment of Xxxxxxx Xxxxxxx for compensation at the rate of $1.0 million per annum for so long as he is employed on a full time basis as Chief Executive Officer of the Company and the options granted to Xxxxxxx Xxxxxxx to acquire up to 2% of Presidio and the right to borrow against such options as set forth in the existing employment agreements and (iii) the assumption by the Company of compensation of Xxxxxxx Xxxxxx and Xxxxx Xxxx not exceeding $30,000 per month in the aggregate for so long as each is engaged for at least one-third of his full business time in the business and affairs of the Company.
