Facility Agent Fee definition

Facility Agent Fee means the “Facility Agent Fee” set forth in the Facility Agent Fee Letter.

Facility Agent Fee means the fees to be paid by the Borrower to PNC as a facility agent fee pursuant to the applicable Fee Letter on the Closing Date as a Closing Date Expense and thereafter in accordance with the Priority of Payments or otherwise.

Facility Agent Fee means $10,000 per quarter, payable on each Payment Date.

Examples of Facility Agent Fee in a sentence

• The Borrower shall pay to the Paying Agent (a) for distribution to each Agent for the benefit of the Lenders in its related Lender Group in accordance with the provisions set forth in Section 8.5 the Unused Fee and certain other fees and (b) for distribution to the Facility Agent, the Facility Agent Fee (collectively, the “Fees”) in the amounts and on the dates set forth in the Lender Fee Letter or the Facility Agent Fee Letter, as applicable.

• The Borrower shall pay to the Security Agent and the Facility Agent the Security Agent Fee and the Facility Agent Fee in the amount and at the times agreed in a Fee Letter.

• When the Borrower fails to pay the Lead Arranger Fee, the Facility Agent Fee or the advances paid by the Lenders, Lead Arranger and Facility Agent, they may add the amount of all the outstanding payments and advances to the principal under the Agreement, and the Borrower is required to pay the default interest and penalty based on the aforementioned terms.

• If the Borrower fails to pay the various execution expenses provided by Paragraphs 1 and 2 of this Article (excluding the Lead Arranger Fee and Facility Agent Fee), the Facility Agent may request that the Lenders advance the execution expenses on a pro rata basis according to their Risk Sharing Percentage and shall not take the necessary actions until the payments have actually been received.

• The resigned Facility Agent shall remit the unearned Facility Agent Fee that it has already received based on the ratio calculated according to the effective date of its resignation to the successor Facility Agent.

More Definitions of Facility Agent Fee

Facility Agent Fee means the fees to be paid by the Borrower to the Structuring Agent as a facility agent fee pursuant to the applicable Fee Letter, and annually in accordance with the Priority of Payments on the Payment Date following the anniversary of the first payment of the Facility Agent Fee to the Structuring Agent.

Facility Agent Fee has the meaning assigned to that term in that certain Fee Letter, dated as of the Closing Date (as amended, modified, waived, supplemented, restated or replaced from time to time), by and between the Borrower and CBNA, as Facility Agent and Lender.

Facility Agent Fee shall have the meaning specified in the Second Restatement Fee Letter.

Facility Agent Fee. Letter means a letter entered into by reference to this Agreement between the Facility Agent and the Company setting out the amount of agency fee referred to in Clause 22 (Fees).
