Facility Documents definition

Facility Documents means this Agreement, the Notes, the Account Control Agreement, the Sale Agreement, the Administrative Agent Fee Letter, the Lender Fee Letter, the Collateral Administration and Agency Fee Letter and any other security agreements and other instruments entered into or delivered by or on behalf of the Borrower in favor of the Collateral Agent, the Administrative Agent or any Lender from time to time pursuant to this Agreement.

Facility Documents means collectively, this Agreement, the Notes, the Purchase Agreement, the Custodial Agreement, the Performance Guaranty, the Demand Note, the Fee Letter, the Intercreditor Agreements, the Demand Note Guaranty, each Control Agreement, the Fee Letter and all other agreements, documents and instruments delivered pursuant thereto or in connection therewith.

Facility Documents means this Agreement, the Notes, the Account Control Agreement, the Collateral Agent Fee Letter, the Custodian Agreement, the Lender Fee Letter, the BNP Fee Letter, the Loan Sale Agreement and any other security agreements and other instruments entered into or delivered by or on behalf of the Borrower pursuant to Section 5.01(c) to create, perfect or otherwise evidence the Collateral Agent’s security interest in the Collateral.

• Each Lender represents to each Agent that it has, independently and without reliance upon such Agent and based on such documents and information as it has deemed appropriate, made its own appraisal of, and investigation into, the business, prospects, operations, property, financial and other condition and creditworthiness of the Borrower and the Collateral Manager, and made its own decision to enter into this Agreement and the other Facility Documents to which it is a party.

• Whether or not expressly stated in such Facility Documents, in performing (or refraining from acting) thereunder, the Collateral Agent USActive 59109857.1659109857.18 shall have all of the rights, benefits, protections and indemnities which are afforded to it in this Agreement.

Facility Documents means this Agreement, the Pricing Side Letter, the Guaranty, the Custodial Agreement, any Electronic Tracking Agreement, the Collection Account Control Agreement, each Servicing Agreement, each Servicer Side Letter, each Power of Attorney and any other documents and agreements executed and delivered by Seller or Guarantor in connection with this Agreement or any Transactions hereunder, as the same may be amended, restated, supplemented or otherwise modified from time to time.

Facility Documents means this Agreement, the Notes, the Security Agreement, stock powers executed by the Guarantor, UCC financing statements executed by the Borrower and the Guarantor, as debtor, and all certificates, affidavits and other documents executed by the Borrower and/or the Guarantor and relating to the transactions set forth in this Agreement, together with any amendments thereto as may from time to time be executed.

Facility Documents means this Agreement, the Collateral Documents, the DIP Orders, each Compliance Certificate, any Notice of Borrowing, any amendments to the foregoing, and all other documents, agreements and instruments delivered in connection with any of the foregoing, in each case, as amended, restated, supplemented or otherwise modified from time to time.

Facility Documents means this Agreement, the Pricing Letter, the EverBank Warehouse Customer Guide, the Electronic Tracking Agreement, the Custodial Agreement, each Servicer Notice, if any, the Power of Attorney, and each Subordination Agreement, if any.

Facility Documents means, with respect to the Facility, those documents specified in the Supplement for the Facility, and any other documents customarily required by Trade Bank for said Facility.

Facility Documents means this Agreement, the Note and the Security Documents.

Facility Documents means, collectively, this Agreement, each Collateral Document, the Representation Letter, the Issuer Acknowledgment, each document delivered pursuant to the Collateral Requirement and each other agreement or instrument executed or delivered in connection herewith or therewith.
