Any dispute arising under this Agreement may be brought into the courts of the State of New York or into the Federal Court located in New York, New York and, by execution and delivery of this Agreement, the Company hereby accepts for itself and in respect of its property, generally and unconditionally, the jurisdiction of aforesaid courts.
The Parties agree that in the event any dispute arises between them which cannot be resolved cooperatively, then, as an exclusive alternative to litigation in either State or Federal Court, the parties will submit their dispute to binding arbitration before the American Arbitration Association under the Commercial Rules of that association.
