  • To the extent the Feeder Fund does not receive specific voting instructions from any Feeder Fund Investor on the vote in question, then the Feeder Fund will vote the corresponding pro rata share of Units of those Feeder Fund Investors in the same manner and proportion as the Units of those Feeder Fund Investors for which it has received specific instructions for the vote in question.

  • This shall include reflecting on the books and records of the Partnership a separate Interest held by such Feeder Fund with respect to each Feeder Fund Investor therein.

  • Except as provided in the Act, no Limited Partner nor any Feeder Fund Investor shall be personally liable to any third party for any liability or other obligation of the Investment Partnership.
