Filed SEC Documents has the meaning set forth in Article III.

Filed SEC Documents means any report, schedule, form, statement or other document (including exhibits) filed with, or furnished to, the SEC prior to the date hereof and publicly available as of the date hereof.

Filed SEC Documents has the meaning set forth in Section 3.1.

Examples of Filed SEC Documents in a sentence

• True and complete copies of the Company Charter Documents are included in the Filed SEC Documents.

• A complete copy of the M&AA is included in the Filed SEC Documents.

• The Company has delivered or made available to Parent, prior to the date of this Agreement, true and complete copies of all the Company Material Contracts that exist as of the date of this Agreement and have not been filed as exhibits to the Company Filed SEC Documents.

• There are no outstanding comments from, or unresolved issues raised by, the staff of the SEC with respect to the Company Filed SEC Documents.

• Except for Contracts filed as exhibits to the Filed SEC Documents, as of the date hereof there are no Contracts that are required to be filed as an exhibit to any Filed SEC Document under the Exchange Act and the rules and regulations promulgated thereunder.

Filed SEC Documents shall have the meaning set forth in Section 4.08 hereof.

Filed SEC Documents means SEC Documents filed by the Company pursuant to the Securities Exchange Act of 1934, as amended;

Filed SEC Documents has the meaning set forth in the introductory language in ARTICLE III.
