Final Stock Price definition

Final Stock Price means the average of the Closing Prices for the 20 Trading Days (as herein defined) during the 20-trading-day-period ending on and including the last Trading Day of the Measurement Period (as hereinafter defined).

Final Stock Price means the Company’s 20-trading day average closing stock price on its principal stock exchange through and including the last trading-day of the Performance Period.

Final Stock Price means the tenth (10th) highest Closing Price which occurs during the Performance Period (including a shortened Performance Period pursuant to paragraph 1(d)(i)(A) of this Schedule A).

Examples of Final Stock Price in a sentence

• In lieu of any fractional share of Stock otherwise deliverable in respect of all Securities of this series and of like tenor of any Holder which are exchanged at the Stated Maturity Date, such Holder shall be entitled to receive an amount in cash equal to the value of such fractional share of Stock based on the Final Stock Price.

• In both of the cases described above, the Calculation Agent will, in its sole discretion, determine the Stock Return for any affected Basket Stock by determining the Final Stock Price for any applicable Successor Shares on the Final Valuation Date and the relevant number of shares of the Successor Shares applicable to such Basket Stock.

• If any Basket Stock is delisted or trading of any Basket Stock is suspended, and the Calculation Agent determines in its sole discretion that no Successor Shares for such Basket Stock exist, the Calculation Agent may determine, in its sole discretion, the Final Stock Price for such Basket Stock.

• All holders of FPC Shares who would otherwise be entitled to receive a fractional share of Holdco Common Stock shall receive, in lieu thereof upon delivery or exchange of its FPC Shares, an amount of cash equal to the amount determined by multiplying the fraction of a share of Holdco Common Stock to which such shareholder would otherwise be entitled by the Final Stock Price.

• If the Company elects to pay cash to the Holder of this Security on the Stated Maturity Date in lieu of exchanging this Security for Stock, then the Calculation Agent shall determine the cash value of the Stock otherwise deliverable in such exchange by multiplying the number of shares of Stock so deliverable by the Closing Price of one share of Stock on the Determination Date (and not by the Final Stock Price).

More Definitions of Final Stock Price

Final Stock Price means the sum of (i) and (ii) where (i) is the average closing stock price of the Common Stock for the last thirty (30) trading days of the Performance Period and (ii) is any dividends paid per share over the Performance Period.

Final Stock Price of Lilly Stock shall mean the average of the closing price of a share of Lilly Stock on the New York Stock Exchange for each trading day in the last two months of the Award Period, rounded to the nearest cent.

Final Stock Price means the sum of (a) and (b) where (a) is the average closing stock price of the Common Stock for the last thirty (30) trading days of the Performance Period and (b) is any dividends paid per share over the Performance Period.

Final Stock Price means the last sale price per share of Superior Common as reported by the Nasdaq National Market on the date of the Closing.

Final Stock Price means the Stock Price on the last day of the Performance Cycle.

Final Stock Price shall be the relevant company’s average closing stock price for the two-month period preceding the last trading day of the TSR Performance Period, (b) “Initial Stock Price” shall be the relevant company’s average closing stock price for the two-month period preceding the first trading day of the Performance Period, and (c) “Reinvested Dividends” shall be the aggregate number of shares (including fractional shares) that could have been purchased during the TSR Performance Period had each cash dividend paid on a single share during that period been immediately reinvested in additional shares (or fractional shares) at the closing stock price on the applicable dividend payment date. Each of the foregoing amounts shall be equitably adjusted for stock splits, stock dividends, recapitalizations and other similar events affecting the shares in question without the issuer’s receipt of consideration.

Final Stock Price means the Closing Level of the Reference Stock on the Final Valuation Date, or the arithmetic average of the Closing Levels of the Reference Stock on each of the Averaging Dates, or on such other date or dates as specified in the relevant pricing supplement.
