D Shares may be converted into A Shares during a period of thirty (30) days from (i) the fourth anniversary of the Allocation Date, or (ii) the date falling four years and three months after the Allocation Date (the “ Conversion Periods”), in accordance with a ratio (the “Conversion Ratio”) determined on the basis of the difference as a percentage between the Initial Stock Price and the Final Stock Price.
