Financial Advisor Opinion definition

Financial Advisor Opinion means an opinion from the independent financial advisor to the Company confirming that the consideration being paid in connection with the transactions contemplated by this Agreement is fair from a financial point of view to the Company.
Financial Advisor Opinion has the meaning set forth in Section 4.26.
Financial Advisor Opinion means the opinion of BMO Xxxxxxx Xxxxx Inc. rendered on July 11, 2023 to the Special Committee to the effect that, as of the date of such opinion, and based on and subject to the various assumptions made, procedures followed, matters considered and limitations and qualifications on the review undertaken set forth therein, the Consideration to be received by the Public Shareholders pursuant to the Plan of Arrangement was fair, from a financial point of view, to the Public Shareholders.
